12. Governing Law and Dispute Resolution (The Critical Section)

12.1. Base Governing Law: These Terms, and any non-contractual obligations arising from them, shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

12.2. Disputes Brought by Us: For any claim or dispute we initiate, you agree that the courts of Singapore shall have exclusive jurisdiction.

12.3. Disputes Brought by You (The Consumer):

  • For consumers in the European Union (EU), the European Economic Area (EEA), and the United Kingdom (UK): If you are a consumer residing in one of these regions, you benefit from any mandatory provisions of the law of your country of residence. You can bring any dispute which you are unable to resolve with us to the competent courts of your country of residence. Nothing in these Terms affects your statutory rights as a consumer under the local laws of your member state.

  • For consumers in all other countries: You agree to submit to the exclusive jurisdiction of the courts of Singapore for the resolution of any disputes.

12.4. Agreement to Arbitrate (Highly Recommended): For any dispute (other than those requiring injunctive relief), you agree to first attempt to resolve the dispute through informal negotiation for at least 30 days. If unresolved, the dispute shall then be referred to and finally resolved by binding arbitration administered by the  Singapore International Arbitration Centre (SIAC) in accordance with its rules. The seat of arbitration shall be Singapore. The language of the arbitration shall be English. The arbitrator's award shall be final and binding.

13. International Trade Compliance
You agree not to use our products or services for any purposes prohibited by applicable export control laws, including nuclear, chemical, or biological weapons proliferation. You are solely responsible for complying with all import and export laws and regulations of your country.

14. Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. This severance shall not affect the validity and enforceability of any other remaining provisions.
